Jessie Approved Partner Agreement

1. Overview
This Partner Agreement ("Agreement") is entered into between Jessie Approved TN ("Jessie Approved," "we," or "us") and the business accepting these terms ("Partner" or "you"). By checking the acceptance box on the Jessie Approved Partner Onboarding Form, you agree to be bound by the terms of this Agreement.
This Agreement governs your participation on the Jessie Approved membership platform, a local perks directory serving members throughout Middle Tennessee.
2. Partnership Term
The partnership term begins on the date of your digital acceptance and continues through December 31, 2027 ("Term").
The fixed term is intentional. Jessie Approved members pay for access expecting the businesses and perks listed to be stable and available. A committed partner directory is core to what members are paying for. We appreciate your understanding of why consistency matters.
3. What Jessie Approved Provides
During the Term, Jessie Approved will:
Feature your business on the member perks directory at jessieapprovedtn.com/perks
Display your business name, logo, description, perk offer, and contact links to paying members
Include your business on the Jessie Approved perks map
Promote the platform and grow the member base on an ongoing basis
Keep your listing active and visible for the full Term unless this Agreement is terminated under Section 8
4. What the Partner Agrees To
By accepting this Agreement, you agree to:
4.1 Honor the perk. You will honor the perk offer listed on your card to any member who presents their Jessie Approved digital member card. Your staff will be informed of the perk and how to verify membership.
4.2 Maintain the perk. Your listed perk will remain available to members for the full Term. You may not withdraw the perk offer without terminating this Agreement under Section 7.
4.3 Perk modifications. You may change the specific perk offer at any time with a minimum of 7 days written notice sent to hello@jessieapprovedtn.com. Jessie Approved will update your listing within a reasonable time after receiving notice. The replacement perk must be of equal or greater value to the original offer.
4.4 Perk exclusions. Any exclusions, conditions, or time restrictions on the perk must be disclosed upfront and reflected accurately in your listing. You may not apply undisclosed restrictions at the point of redemption.
4.5 Brand representation. You agree not to misrepresent the Jessie Approved platform, its membership, or the nature of the partnership in any public communications.
5. Perk Listing and Updates
Your perk listing will reflect the offer you submitted on the onboarding form. Any updates to your perk text, exclusions, redeem instructions, logo, website, or contact information must be submitted in writing to hello@jessieapprovedtn.com.
Jessie Approved reserves the right to edit listing copy for formatting consistency, brand voice, and clarity while preserving the substance of your offer.
6. No Exclusivity
This Agreement is non-exclusive. Jessie Approved may partner with other businesses in your category or geographic area. You are not prohibited from participating in other local marketing or perks programs.
7. Early Exit by Partner
The Term runs through December 31, 2027. If circumstances require you to exit the platform before the end of the Term -- including business closure, rebrand, or an inability to continue honoring the perk -- the following applies:
7.1 Written notice required. You must provide a minimum of 60 days written notice of your intent to exit, sent to hello@jessieapprovedtn.com.
7.2 Wind-down period. During the 60-day notice period, your perk remains active and must continue to be honored. Jessie Approved will mark your listing as "Coming Soon" or remove it at your request after notice is received.
7.3 Good faith communication. We understand that small businesses face unexpected changes. We ask that you communicate with us as early as possible so we can manage member expectations appropriately.
7.4 No financial penalty. There is no financial penalty for early exit provided proper notice is given. However, abrupt removal without notice -- particularly if members have been misled or left without a perk they expected -- may result in the matter being addressed in writing between both parties.
8. Removal by Jessie Approved
Jessie Approved reserves the right to remove a Partner from the platform at any time, without advance notice, in the following circumstances:
Repeated failure to honor the listed perk after member complaints
Misrepresentation of the platform or the partnership
Conduct that damages the Jessie Approved brand or its relationship with members
Any behavior that Jessie Approved reasonably determines to be harmful to its members or community
In all other circumstances, Jessie Approved will provide 30 days written notice before removing a Partner listing.
9. Communications and Notices
All official notices under this Agreement must be sent in writing to:

Written notice via email is sufficient. Notice is considered received on the date the email is sent, provided no bounce or delivery failure is received by the sender.
10. Changes to This Agreement
Jessie Approved may update this Agreement from time to time. If material changes are made that affect existing Partners, we will notify you at the email address you provided on the onboarding form. Continued participation on the platform following notice of changes constitutes acceptance of the updated terms.
11. Limitation of Liability
Jessie Approved TN is a marketing and membership platform. We do not guarantee a specific number of member visits or redemptions at your business. We make no warranties about revenue outcomes from participation. Your listing is provided as-is based on the information you submit.
12. Governing Law
This Agreement is governed by the laws of the State of Tennessee. Any disputes arising from this Agreement will be handled in writing between both parties before any other action is taken.
13. Entire Agreement
This Agreement, together with the perk details submitted on your onboarding form, constitutes the entire agreement between you and Jessie Approved TN regarding your participation on the platform. It supersedes any prior verbal or informal understandings.
Acceptance
By checking the acceptance box on the Jessie Approved Partner Onboarding Form, you confirm that:
You have read and understood this Agreement
You have authority to enter into this Agreement on behalf of your business
You agree to be bound by its terms for the duration of the partnership
A copy of this Agreement and your form submission will be emailed to you automatically upon acceptance and saved in Jessie Approved's records.
